Antonio Pacelli Wholesale Terms & Conditions
1. General
These Wholesale Terms & Conditions apply to all orders placed with Antonio Pacelli (“Antonio Pacelli”, “we”, “us”, “our”) by approved wholesale customers (“the customer”, “you”, “your”).
By placing an order with Antonio Pacelli, you agree to be bound by these Terms & Conditions.
We reserve the right to amend these terms at any time without prior notice.
2. Wholesale Eligibility & Account Approval
Wholesale accounts are granted at the sole discretion of Antonio Pacelli.
Approval is based on factors including, but not limited to:
- suitability of the business
- geographical location
- existing distribution network
- product presentation
- sales channels
- anticipated order volumes
We reserve the right to refuse, suspend, or terminate any wholesale account at our discretion.
Wholesale accounts may be reviewed periodically to ensure agreed standards and minimum purchase levels are being maintained.
Accounts that remain inactive for 12 months may be closed and required to reapply.
3. Prices
All prices are subject to change without prior notice.
Orders will be charged at the prices applicable at the time the order is placed.
Whilst we endeavor to provide notice of pricing changes where possible, we reserve the right to amend prices at any time.
Recommended Retail Prices (RRPs) are provided as guidance only.
Wholesale pricing and trade information are confidential and must not be shared publicly or disclosed to third parties.
4. Ordering
It is the responsibility of the purchaser to ensure all product codes, sizes, colours, and quantities are correct when placing an order.
Antonio Pacelli cannot accept responsibility for incorrect goods supplied where incorrect information was provided by the purchaser.
Orders placed by telephone or email should include your business name and account number where applicable.
5. Payment Terms
Proforma Customers
Proforma customers must pay in full before goods are despatched.
Any bank charges, intermediary bank fees, currency conversion charges, or transfer fees are the responsibility of the customer. Payment must be received in full net of all charges.
Credit card refunds or credits will be processed back to the original payment method where applicable.
Account Customers
Goods remain the property of Antonio Pacelli until paid for in full.
We reserve the right to:
- suspend despatch of orders
- withdraw credit facilities
- amend payment terms
- cancel outstanding orders
where invoices remain overdue.
Interest may be charged on overdue invoices at 4% above the Bank of England base rate.
The customer shall indemnify Antonio Pacelli against all reasonable costs incurred in recovering overdue sums, including legal fees, collection costs, enforcement fees, tracing fees, and associated expenses.
6. Delivery & Carriage
We reserve the right to select the carrier and service level deemed appropriate for the shipment.
Carriage charges are applied in accordance with the current wholesale shipping schedule.
Risk in the goods passes to the customer upon delivery.
7. Back Orders
Where items are temporarily unavailable, back orders may be created unless otherwise requested at the time the order is placed.
Customers who do not wish to receive back orders or part shipments must clearly state this on each order.
We reserve the right to charge carriage on back orders.
Customers will be contacted when back ordered items become available. If no response is received within 14 days, the back order may be cancelled and returned to available stock.
8. Missing or Damaged Goods
Any shortages, damages, or discrepancies must be reported within 7 days of receipt.
Claims submitted outside this period may not be accepted.
Please check that any missing items were not part-shipped due to stock availability before reporting shortages.
9. Faulty Products
Customers must contact Antonio Pacelli before offering refunds, credits, or replacements to their own customers.
Unauthorised refunds or replacements are made at the customer’s own risk.
To assess a claim, we may request:
- photographs
- further information
- return of the product for inspection
Where appropriate, we reserve the right to repair products rather than replace or refund them.
This may include repairs to:
- straps
- tips
- heels
- insoles
- fittings
If a product is confirmed as faulty, reasonable standard return postage costs will be refunded.
Customers outside the UK must clearly mark returned parcels and customs documentation as:
“Returning to Manufacturer”
Antonio Pacelli cannot accept responsibility for customs delays, duties, or charges arising where this has not been completed correctly.
Wholesale customers are responsible for handling all communication directly with their own customers regarding faults and warranty issues.
10. Returns
Returns of unwanted or incorrectly ordered goods are accepted solely at the discretion of Antonio Pacelli.
Approved returns:
- must be unused
- in original packaging
- in resaleable condition
- from current product lines
Discontinued products, special-order items, customised products, clearance goods, and products supplied correctly as ordered cannot be returned.
All approved returns are subject to a 20% restocking charge unless the goods were supplied in error by Antonio Pacelli.
Return carriage costs are the responsibility of the customer unless otherwise agreed.
11. Customs, Duties & Import Charges
For international shipments, the customer is responsible for:
- import duties
- customs charges
- local taxes
- customs clearance
- acting as importer of record where applicable
Antonio Pacelli cannot accept responsibility for customs delays or charges incurred after despatch.
Any shipment returned due to unpaid customs charges or refusal of delivery may incur:
- return carriage charges
- customs charges
- a 20% restocking fee
Original carriage charges are non-refundable.
12. Online Sales & Marketplace Restrictions
Antonio Pacelli products may not be sold, advertised, promoted, or listed on:
- Amazon
- eBay
- Temu
- Walmart Marketplace
- TikTok Shop
- online auction sites
- third-party marketplaces
- discount marketplace platforms
without prior written consent from Antonio Pacelli.
Consent may be withdrawn at any time.
Wholesale customers must not:
- misrepresent Antonio Pacelli products
- alter branded packaging
- use misleading pricing practices
- damage the reputation or positioning of the brand
Breach of this section may result in immediate withdrawal of wholesale terms and closure of the account.
13. Intellectual Property
All trademarks, logos, product names, photography, graphics, website content, and marketing materials remain the property of Antonio Pacelli.
Wholesale customers may not reproduce, modify, distribute, or use Antonio Pacelli intellectual property without permission.
Unauthorised use of images, branding, or marketing content may result in termination of wholesale supply.
14. Dropship & Direct-to-Customer Deliveries
Antonio Pacelli does not operate a general drop shipping service.
In exceptional circumstances, we may agree to despatch goods directly to a wholesaler’s customer.
This service is entirely discretionary and may incur administration charges.
We reserve the right to refuse direct-to-customer shipments.
15. Limitation of Liability
Antonio Pacelli shall not be liable for:
- indirect or consequential losses
- loss of profit
- loss of business
- loss of goodwill
- delays caused by carriers, customs, suppliers, or events outside our reasonable control
Our total liability shall not exceed the invoice value of the goods supplied.
Any repairs, modifications, or customisations carried out by third parties without authorisation will invalidate any product warranty.
16. Force Majeure
Antonio Pacelli shall not be liable for failure or delay in performing obligations due to circumstances outside our reasonable control, including but not limited to:
- natural disasters
- industrial disputes
- supplier failures
- transport disruption
- government restrictions
- customs delays
- pandemics
- cyber incidents
17. Privacy & Data Protection
Both parties agree to comply with applicable data protection and privacy legislation.
Please refer to our Privacy Policy for further information regarding the handling of personal data.
18. Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws of England and Wales.
The parties submit to the exclusive jurisdiction of the courts of England and Wales.
